End User License Agreement

Terms governing your use of the NexTier Invoice App and its QuickBooks Online integration.

1. Parties

This End User License Agreement (“Agreement”) is entered into between NexTier (“Licensor”, “we”, or “us”) and the authorized user of the software described herein (“Licensee” or “you”).

2. License Grant

NexTier grants you a limited, non-exclusive, non-transferable, revocable license to install and use the NexTier Invoice App (“Software”) solely for internal business purposes in connection with your QuickBooks Online account. The Software is designed exclusively for generating invoices from CCH Practice Management data into QuickBooks.

3. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law;
  • Sell, sublicense, lease, rent, or otherwise distribute the Software to any third party;
  • Use the Software for any purpose other than generating invoices for your own business operations;
  • Remove, alter, or obscure any proprietary notices, labels, or marks in the Software.

4. Intellectual Property

The Software and all related intellectual property rights are and shall remain the exclusive property of NexTier. This Agreement does not convey to you any title or ownership interest in the Software.

5. No Warranty

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXIER SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE.

6. Limitation of Liability

In no event shall NexTier’s aggregate liability exceed the amount actually paid by you for the Software during the twelve (12) months preceding the claim. Under no circumstances shall NexTier be liable for any indirect, incidental, special, consequential, or punitive damages.

7. Compliance with Third-Party Services

You acknowledge that the Software interfaces with QuickBooks Online (Intuit) and CCH Practice Management. Your use of these third-party services is governed by their respective terms of service. You are solely responsible for maintaining appropriate credentials, permissions, and compliance with those platforms.

8. Termination

This license is effective until terminated. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles.
